Terms of Service

1.1 Service Offerings

We provide artificial intelligence and automation services including but not limited to:

• AI automation and process optimization
• Strategic consulting and technology roadmapping
• Digital transformation services
• Custom AI model development and implementation

1.2 Service Standards

All services are delivered in accordance with our quality standards, European regulatory requirements, and industry best practices. We maintain ISO 27001, SOC2 Type II, and GDPR compliance across all service offerings.

2.1 Cooperation and Access

Client agrees to provide reasonable cooperation, access to systems, data, and personnel necessary for the successful delivery of services.

2.2 Data Accuracy

Client warrants that all data provided is accurate, lawfully obtained, and that Client has the right to share such data for the purposes of service delivery.

2.3 Compliance

Client agrees to comply with all applicable laws and regulations in their use of our services, including but not limited to GDPR, data protection laws, and industry-specific regulations.

3.1 GDPR Compliance

We process personal data in accordance with the General Data Protection Regulation (GDPR) and other applicable European data protection laws. Where we process personal data on behalf of Client, we act as a data processor and Client acts as the data controller.

3.2 Data Processing Agreement

A separate Data Processing Agreement (DPA) governs the processing of personal data and forms an integral part of these Terms when personal data processing is involved.

3.3 Data Security

We implement appropriate technical and organizational measures to ensure data security, including encryption, access controls, and regular security assessments in accordance with our ISO 27001 and SOC2 certifications.

4.1 Company IP

All intellectual property rights in our methodologies, frameworks, tools, and pre-existing technologies remain the exclusive property of Lab4Leads.

4.2 Client IP

Client retains all rights to their pre-existing intellectual property, data, and business processes.

4.3 Work Product

Custom developments and solutions created specifically for Client will be owned by Client, subject to our retained rights in underlying methodologies and general knowledge.

5.1 Service Limitations

While we strive for excellence, AI and automation technologies are inherently complex. We provide services on a "best efforts" basis and cannot guarantee specific business outcomes.

5.2 Liability Cap

Our total liability for any claims arising from these Terms shall not exceed the total amount paid by Client for services in the twelve (12) months preceding the claim.

5.3 Excluded Damages

Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, except as required by applicable European law.

6.1 Termination Rights

Either party may terminate ongoing services with thirty (30) days written notice. Immediate termination is permitted in cases of material breach or insolvency.

6.2 Data Return

Upon termination, we will return or securely destroy Client data as requested, in accordance with GDPR requirements and our data retention policies.

6.3 Survival

Confidentiality, intellectual property, limitation of liability, and governing law provisions shall survive termination of these Terms.

7.1 Applicable Law

These Terms are governed by the laws of the European Union and the specific European jurisdiction where Lab4Leads is established, without regard to conflict of law principles.

7.2 Dispute Resolution

Any disputes arising from these Terms shall first be addressed through good faith negotiations. If unresolved, disputes shall be subject to the exclusive jurisdiction of the competent courts in our jurisdiction of establishment.

7.3 Alternative Dispute Resolution

Parties may agree to resolve disputes through mediation or arbitration under European alternative dispute resolution procedures.
